Understanding Confidentiality Agreements

Confidentiality Agreements, also referred to as Confidential Disclosure Agreements (CDAs), Non-Disclosure Agreements (NDAs), Proprietary Information Agreements (PIAs), Confidentiality Transmittal Records (CITRs), or Secrecy Agreements, are legally binding contracts between at least two parties. These agreements facilitate the exchange of confidential materials, knowledge, or information for specific purposes, while restricting access by unauthorized individuals and ensuring that the shared information remains confidential for a designated period. Such agreements are crucial in protecting sensitive data, proprietary technologies, trade secrets, and other confidential information from unauthorized disclosure or misuse.

When to Use a Confidentiality Agreement

Consider initiating a Confidentiality Agreement when you plan to:

  • Share unpublished research or proprietary data with an external party.
  • Receive confidential information from another organization for potential collaborations.
  • Engage in discussions involving sensitive information not intended for public release.

Submission Process

To initiate a Confidentiality Agreement:

  1. Download and complete the Confidentiality Agreement Request Form.
  2. Email the completed form to OSU Advantage at [email protected].

Note: Please refrain from sharing any confidential information until the agreement is fully executed by all parties.

Important Consideration

If you plan to exchange physical materials or samples in addition to confidential information, please use the Material Transfer Agreement Request Form instead.
